Profile
Scott focuses his practice on corporate transactions and cross-border matters for deep-technology and growth-stage companies. He advises clients on structuring, negotiating, and executing equity financings, joint ventures, strategic partnerships, commercial contracts, and U.S. market-entry transactions. Scott regularly represents companies and investors across defense-adjacent, energy, AI, autonomy, and advanced-materials sectors, with a particular focus on businesses scaling dual-use technologies.
He works closely with international companies entering or expanding in the United States, including entities from Europe, Australia, the Middle East, and Asia-Pacific, helping them establish U.S. operating companies, structure investment vehicles, negotiate with U.S. partners, and prepare for growth-stage financing and commercialization. His cross-border experience also includes counseling U.S. companies expanding abroad, navigating multi-jurisdiction corporate governance, and designing IP, licensing, and operational structures that support global scale.
Scott’s practice reflects a blend of transactional fluency and sector knowledge, allowing him to advise clients not only on the legal mechanics of a deal but also on the strategic considerations that shape technology-driven businesses. He supports companies through the full lifecycle of growth: from early structuring and initial financings to multi-party strategic transactions and expansion into regulated or international markets.
Before joining Wiley, Scott worked with emerging companies in private practice and in a venture-building environment, where he supported new technology ventures through formation, corporate structuring, and commercial development. This background informs his ability to provide practical, business-aligned advice that meets companies where they are and prepares them for scale.
