Elizabeth advises clients on complex commercial contracting and various strategic transactional matters. She has expertise in complex technology contracting (buy and sell side) with an emphasis on intellectual property licensing and associated risk allocation issues. Elizabeth provides outside general counsel services to clients across many industries including professional services providers, software companies and developers, government contractors, trade and industry associations, political organizations, technology start-ups, and nonprofit corporations.

Representative Matters

  • Counsels clients in the drafting and negotiation of complex technology agreements, including SaaS, PaaS, and data licensing/development agreements.
  • Represents clients in the negotiation of a wide variety of other commercial agreements, including professional and consulting services, independent contractor, confidentiality, media and advertising, data and content licensing, evaluation, supply/distribution, reseller, and end user agreements.
  • Advises clients on product terms of sale, website terms of use, content standards, acceptable use policies, and mobile application/gaming terms of use.
  • Counsels clients in technology and IP-driven strategic transactions, including reorganizations, joint ventures, collaboration, and co-development arrangements.
  • Advises clients on the drafting, development, and maintenance of standard documents and contract portfolios.
